Platform Terms of Service
These Terms govern the Intelligant platform from Intelligant AI LLC (“Intelligant AI,” “we,” “us”): Intelligant Accounts, PETROS, Tiphys, and the Intelligant apps for Slack, Microsoft Teams, Discord and Jira (together, “the Services”). They form an agreement between us and the company that signs up (“Customer,” “you”). If you accept them for a company, you confirm that you may bind it. If your company has signed a separate agreement with us (for example, an Enterprise agreement), that agreement controls where it differs from these Terms. Our dealership messaging program has its own terms.
The Services
PETROS is a platform engineer: it reviews your cloud platform and proposes changes as pull requests. Tiphys is a site reliability engineer for your container services: it investigates problems and proposes fixes, and it changes a cluster only after a person approves. Plans, limits and prices are described on our pricing page and in Accounts. We may improve, change or retire features; if a change materially reduces what you’ve paid for, we’ll tell you in advance.
Your account
You’re responsible for who you invite, the roles you give them, keeping sign-in credentials safe, and everything done under your account. Tell us promptly at security@intelligant.ai if you believe your account has been misused.
Your systems and content
You decide what to connect: cloud accounts, repositories, clusters, trackers and chat workspaces. You confirm that you have the right to connect them and to give us the access you grant. You authorize us to access and process that content only to provide the Services to you, as described in our Platform Privacy Policy. You keep all rights to your content.
AI output and your approvals
The Services use artificial intelligence. Their findings, answers and proposed changes can be incomplete or wrong, so review them before you act on them. A person in your company decides whether to merge a pull request or approve a change, and you’re responsible for the changes your people approve. PETROS never merges its own pull requests, and Tiphys waits for approval before changing a cluster. The Services are not a substitute for your own backups, change control or professional judgment.
Acceptable use
Don’t use the Services to break the law or anyone’s rights; to access systems you aren’t authorized to access; to attack, overload or probe the Services or other people’s systems; to get around limits, security or billing; to build a competing product from them; or to resell them without our written permission.
Fees and billing
• Subscriptions are billed in advance through Stripe for each billing period, at the prices shown when you subscribe, plus applicable taxes.
• Plans are priced by the work done (such as tasks or investigations). When you reach your plan’s limit, the product stops starting new work until the next period or until you change plans. There are no overage charges.
• Pilots and discounts, including bundle and annual terms, apply as described when you buy them.
• You can cancel in Accounts at any time. Cancellation takes effect at the end of the current billing period, and you keep access until then. Fees already paid are not refundable, except where we agree otherwise or the law requires.
• We may change prices for future periods with at least 30 days’ notice.
Third-party services
The Services work with services you connect, such as GitHub, GitLab, Atlassian, ServiceNow, Slack, Microsoft, Discord and cloud providers. Their own terms govern your use of them, and we aren’t responsible for them.
Confidentiality
Each of us will protect the other’s non-public information with reasonable care, use it only for this agreement, and share it only with people who need it and are bound to protect it. This doesn’t cover information that is public, already known to the recipient, independently developed, or that must be disclosed by law (with notice where allowed).
Our property and feedback
We own the Services, including the software, models we configure, and documentation. These Terms give you a right to use the Services during your subscription, not ownership of them. If you send us feedback, we may use it without obligation to you.
Suspension and termination
We may suspend access if needed to stop a security threat, a serious breach of these Terms, or non-payment, and we’ll tell you why. Either of us may end this agreement if the other materially breaches it and doesn’t fix the breach within 30 days of notice. When the agreement ends, access stops, and we delete your data as our Platform Privacy Policy describes. Ask us before then if you need a copy of anything.
Warranties and disclaimers
We will provide the Services with reasonable skill and care. Otherwise, the Services are provided “as is,” and to the extent the law allows we disclaim all other warranties, including merchantability, fitness for a particular purpose and non-infringement. We don’t promise that the Services will be uninterrupted or error-free, or that AI output will be accurate.
Limitation of liability
To the extent the law allows, neither of us is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Each party’s total liability under this agreement is limited to the fees you paid us in the 12 months before the claim. These limits don’t apply to your payment obligations, to a party’s breach of confidentiality, or to liability the law doesn’t allow to be limited.
Indemnity
You will defend us against third-party claims arising from content or systems you connect without the right to do so, or from your breach of the acceptable use terms, and pay resulting costs and damages. We will defend you against third-party claims that the Services, as we provide them, infringe someone’s intellectual property, and pay resulting costs and damages.
Changes to these Terms
We may update these Terms. We’ll post the new version here with its date and tell your company’s admins at least 30 days before a material change takes effect. If you continue using the Services after that, the new Terms apply.
General
These Terms are governed by the laws of the State of Oklahoma, without regard to its conflict-of-laws rules, and disputes will be resolved in the state or federal courts in Oklahoma County, Oklahoma. Neither of us is responsible for delays caused by events beyond reasonable control. You may not assign this agreement without our consent, except to a successor of your business. If any part of these Terms is unenforceable, the rest still applies.
